Partner Program Agreement

1. What this is

This agreement is between you (the "Partner") and Le Roux Ventures, LLC, a Pennsylvania limited liability company ("we", "us"), which operates SiteSpark. It applies from the day we approve your application.

You build websites for your own clients using SiteSpark. Your client subscribes to SiteSpark directly. We pay you a share of what we receive from that subscription. That is the whole arrangement.

2. You pay us nothing

There is no application fee, joining fee, platform fee, per-site fee, training fee, or minimum purchase, and there never will be under this agreement. We do not sell you anything as a condition of being a partner.

3. You find your own clients

We do not supply you with leads, customers, accounts, prospects, appointments, or exclusive territories, and nothing in this agreement or in any of our materials should be read as promising them. Who you work with, how you find them, and what you charge them is entirely your business.

4. Your fees are yours

You set and keep 100% of whatever you charge your client for design, build, content, maintenance, or any other service you provide. We do not take a share of it, set it, or bill for it.

You must not bill your client for their SiteSpark subscription, mark it up, resell it, or collect payment for it on our behalf. Your client pays us directly, with their own payment method, at our published price.

5. Commission

We pay you 30% of the net amount we actually receive from Paddle for each subscription attributed to you, for as long as that subscription remains active. "Net" means after Paddle's fees and any taxes Paddle collects, which is what our payout reports show.

There is no minimum balance before you are paid and no time limit on how long commission continues. Commission accrues only after we hold a completed W-9 from you.

Commission is held for 30 to 60 days before payout, so that refunds and chargebacks within that window can be reversed against it. If a subscription is refunded or charged back, the commission for it is reversed.

Attribution is recorded when your client checks out and cannot be added afterwards. If a client reaches checkout without your referral link, that subscription is not attributed to you and we cannot retroactively attach it.

Where a client arrives through more than one partner, the most recent referral within the attribution window is the one recorded.

We do not operate a downline. You earn only on subscriptions attributed to you, never on subscriptions attributed to anyone you introduced to the program.

6. Payouts, tax, and eligibility

The program is currently open to partners who are United States persons for tax purposes. We require a completed W-9 before any commission accrues, and we report payments as required by law.

Payouts are currently made manually by PayPal. We will give you notice before changing the payout method.

7. Your client owns their site and their domain

When your client takes over billing, they own their site and their subscription outright. You keep edit access so you can continue working for them, and they can withdraw that access at any time without notice to you or a reason.

Your access expires automatically after 90 days without activity on a site. You can be re-granted access by the client.

Your client is always the registrant of record for their own domain name. You may hold a delegated, revocable right to manage DNS for them, but you must not register or hold a client domain in your own name or in ours.

8. Support

You are first-line support for anything you built: content, layout, copy, and the design decisions you made. We support the SiteSpark platform itself, billing, and account access, and we support your client directly on those things.

9. What you must not do

You must not describe yourself as an employee, agent, or representative of SiteSpark, or as authorised to make commitments on our behalf. You are an independent contractor and this agreement does not create a partnership, joint venture, franchise, or employment relationship.

You must not make claims about earnings, income, or results — yours or anyone else’s — when recruiting other partners or when selling to clients. This includes averages, ranges, screenshots of payouts, and "you could make" framing. Show the mechanic, never the total.

You must not promise leads, customers, accounts, or territories to anyone.

You must not send unsolicited automated calls, prerecorded calls, ringless voicemail, or text messages to promote SiteSpark, and must not use our name in any campaign of that kind. You must comply with CAN-SPAM in any email you send.

You must not bid on our brand terms in paid search, register domains containing our name, or represent yourself as SiteSpark.

You must not create accounts, referrals, or subscriptions that do not correspond to a real client who wants the product.

10. Ending it

Either of us can end this agreement at any time, for any reason, with written notice. If you end it, or if we end it for any reason other than a breach of section 9, commission already accrued is still paid out on the normal schedule and commission on your existing attributed subscriptions continues.

If we end it because of a breach of section 9, we may withhold unpaid commission relating to the conduct in question. We will tell you what the conduct was.

Ending this agreement does not affect your clients’ subscriptions or their ownership of their sites.

11. Changes

We may update this agreement. If we do, we will publish a new version with a new version number and tell you before it applies to you. Continuing in the program after that date means you accept the new version.

The version you accepted is recorded on your account. This is version 2026-08-11.

12. General

This agreement is governed by the laws of the Commonwealth of Pennsylvania. If any part of it is unenforceable, the rest still applies. Questions go to legal@sitespark.you.
